meetings so often as they shall fee occasion, giving regular notices there-of : that they shall have full power anil authority to direct and regulatethe carrying on and management of the navigation of the grand canal,and all works thereon, and the purchase and management of all groundand land necessary for carrying on the fame, or belonging thereto: alsothat they shall have the controul and direction of all officers and servantsbelonging to the company and navigation, who are to receive theirorders and directions from the general board and the court of directorsonly: that all money for carrying on the navigation, and all otherpurposes of the fame, be paid and disposed of under the general boardand direction of the court of directors only; five of the said court to signsuch orders: that all committees do receive instructions from the courtof directors, and make their reports to them; and in general that thesaid court of directors do regulate and prepare all business for the generalboard and meetings of the company; provided always, that the said courtof directors do not in any fort suspend, invalidate, alter, or contradictthe regulations, rules, or orders of the general boards, but the fame shall'be binding and conclusive to them, who are to take care to have thesame carried into execution.

" Resolved, That a select committee of thirty-one members be ap-pointed, and called The Committee tosupermtend the Works carrying onupon the Canal ; any three of whom to be a quorum: and they are toview and inspect the said works, and report to the court of directors,from time to time, how the fame are carrying on; and if any fraud,mismanagement, or impropriety appears to them, that they do lay thefame before the court of directors of the company, &c. &c.

" Resolved, That a select committee of twenty-one members be ap-pointed, and called The Committee of Accounts ; that they, or any fiveof them, do settle and adjust all accounts of receipts and payments of allmoney belonging to the company; and all bills and accounts relative
